Terms of Service - Paid Subscription
Effective Date: February 10, 2026
These Terms of Service ("Terms") govern your access to and use of the Scalla Reviews platform under a paid subscription. By subscribing to the Service, you agree to be bound by these Terms and to comply with all applicable laws and regulations.
1. DEFINITIONS
1. "Service" means the Scalla Reviews platform, a white-label review automation system built on the GoHighLevel platform, including all features, tools, and functionalities provided under the paid subscription.
2. "You", "Your", "Customer" means the individual or legal entity that subscribes to and pays for the Service.
3. "We", "Us", "Our", "Scalla Reviews" means Scalla Reviews, operating under Irish law.
4. "Personal Data" has the meaning set out in Article 4(1) of the General Data Protection Regulation (GDPR).
5. "Subscription" means your paid access to the Service on a monthly (EUR 97) or annual (EUR 970) basis.
6. "Sub-Processor" means any third-party service provider engaged by Scalla Reviews to process Personal Data in connection with the Service, including GoHighLevel, Google Cloud Platform, and Amazon Web Services.
2. SUBSCRIPTION AND BILLING
7. Subscription Plans: We offer the following subscription plans: (a) Monthly Plan at EUR 97 per calendar month, (b) Annual Plan at EUR 970 per calendar year (equivalent to EUR 80.83 per month).
8. Billing and Payment: Subscription fees are billed in advance at the start of your billing period. You authorize us to charge your payment method (credit card or other agreed method) for the subscription fee and any applicable taxes. Payment terms are due upon invoice.
9. Currency and Taxes: All fees are stated in Euros (EUR). You are responsible for payment of any applicable sales, use, value-added, goods and services, or similar taxes imposed by any jurisdiction. If you are exempt from tax, you must provide valid tax exemption documentation.
10. Failed Payment: If your payment method is declined or you otherwise fail to pay subscription fees, we may suspend your access to the Service until payment is received. You remain liable for all unpaid fees and any collection costs.
11. Price Changes: We may change subscription fees with 30 days' written notice. Changes will take effect at the start of your next billing period. Your continued use of the Service after the notice period constitutes acceptance of the new pricing.
12. Subscription Auto-Renewal: Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. Cancellation must be submitted in writing to [email protected].
3. CANCELLATION AND REFUNDS
13. Cancellation: You may cancel your subscription at any time by contacting [email protected] or through your account settings. Cancellation takes effect at the end of your current billing period.
14. Refund Policy - Annual Subscription: If you purchase an annual subscription plan (EUR 970 per year), you may request a full refund within 14 calendar days of purchase, provided you have not substantially utilized the Service (defined as creating no more than 5 campaigns or collecting fewer than 100 reviews). This 14-day refund window is your statutory right under the Consumer Rights Directive (2011/83/EU).
15. Refund Policy - Monthly Subscription: Monthly subscription fees are non-refundable once your billing period commences, except where required by applicable consumer protection law. You may cancel for future billing periods without penalty.
16. Refund Process: To request a refund, contact [email protected] with evidence of your purchase and reason for the refund request. We will review your request and respond within 14 days. Approved refunds will be processed within 30 days to your original payment method.
17. Substantial Use Determination: If you have created more than 5 campaigns, collected more than 100 reviews, or configured integrations with third-party services, you are considered to have substantially utilized the Service and are not eligible for a refund.
18. Data Upon Cancellation: Upon cancellation, your access to the Service will cease immediately. Your account data will be retained for 30 days to allow reactivation. After 30 days, all data will be permanently deleted unless we are required to retain it by law.
4. ACCOUNT USAGE AND RESTRICTIONS
19. Account Registration: You agree to provide accurate, current, and complete information during registration and billing. You are responsible for maintaining the confidentiality of your account credentials.
20. Authorized Use: Your subscription is for your sole business use and you may not resell, redistribute, or share access with third parties without prior written consent.
21. Prohibited Activities: You may not use the Service to: (a) violate any law or regulation; (b) send spam, unsolicited communications, or phishing attempts; (c) reverse engineer or decompile the Service; (d) attempt to gain unauthorized access; (e) interfere with Service operations; or (f) collect or process Personal Data without proper consent and legal basis.
22. Usage Limits: Your subscription includes reasonable usage limits to prevent abuse. Excessive usage (defined as more than 100,000 API calls per month or 50,000 reviews per month) may result in service suspension or additional charges.
5. DATA PROTECTION AND PRIVACY
5.1 Data Controller Roles
23. Your Customer Data: For Personal Data you input into the Service relating to your own business operations (e.g., your business contact details, billing information), Scalla Reviews acts as Data Controller as defined under GDPR Article 4(7).
24. End-User Review Data: For Personal Data relating to your customers/end-users whose reviews you collect through the Service, you act as Data Controller and Scalla Reviews acts as Data Processor as defined under GDPR Article 4(8). The processing of this data is governed by a separate Data Processing Agreement (DPA).
5.2 Sub-Processors and International Transfers
25. Sub-Processors: Scalla Reviews engages the following Sub-Processors to provide the Service:
GoHighLevel (United States): White-label SaaS platform providing CRM, marketing automation, and communication tools
Google Cloud Platform (United States): Cloud infrastructure and hosting services
Amazon Web Services (United States): Cloud infrastructure and hosting services
26. Data Transfers Outside the EEA: Personal Data processed through the Service may be transferred to and stored on servers located in the United States. These transfers are made in compliance with GDPR Articles 44-49 through the use of Standard Contractual Clauses approved by the European Commission (Commission Implementing Decision EU 2021/914). Our Sub-Processors have implemented Standard Contractual Clauses and appropriate supplementary measures to ensure adequate protection of Personal Data, including Technical and Organizational Measures (TOMs) compliant with GDPR Article 32.

5.3 Your Data Rights
Under GDPR, you have the following rights regarding your Personal Data: the right to access (Article 15), rectification (Article 16), erasure (Article 17), restriction of processing (Article 18), data portability (Article 20), and to object to processing (Article 21). To exercise these rights, contact us at [email protected]. We will respond to your request within 30 days as required by GDPR Article 12(3). You also have the right to lodge a complaint with the Data Protection Commission (Ireland) if you believe your rights have been violated.
6. SERVICE LEVEL AND SUPPORT
28. Service Availability: We aim to maintain service availability, but do not guarantee uninterrupted access. The Service is provided on an 'as available' basis.
29. Maintenance and Downtime: We may perform scheduled maintenance with 48 hours' notice via email. Emergency maintenance may occur without notice for security or operational reasons. Maintenance-related downtime will not count as service unavailability for refund or credit purposes.
30. Support: We provide email support to all paid subscribers. Support inquiries will be responded to within 48 business hours. Premium support (phone, chat, dedicated account manager) is available as an add-on service.
31. Third-Party Dependencies: The Service relies on third-party platforms (particularly GoHighLevel, GCP, and AWS). Service availability and performance may be affected by issues with these third-party platforms beyond our control.
7. INTELLECTUAL PROPERTY
32. Service Ownership: All intellectual property rights in the Service, including software, designs, trademarks, documentation, and content, remain the exclusive property of Scalla Reviews and its licensors (including GoHighLevel).
33. License Grant: We grant you a non-exclusive, non-transferable, revocable license to use the Service solely in accordance with these Terms during your active subscription.
34. Your Content: You retain all intellectual property rights to the content and data you input into the Service. You grant us a limited license to use, store, and process this content solely for the purpose of providing the Service.
35. Restrictions: You may not copy, modify, reverse engineer, decompile, or create derivative works based on the Service or any portion thereof. You may not remove or alter any proprietary notices or labels.
8. WARRANTIES
36. Limited Warranty: Scalla Reviews warrants that the Service will generally be available and function substantially in accordance with the documentation provided. However, we do not warrant that the Service will meet your specific requirements, generate particular results, or be error-free.
37. Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS.
38. No Guarantee of Results: We do not warrant that your use of the Service will generate reviews, increase customer engagement, or produce specific business results.
39. Compliance Responsibility: You are responsible for ensuring your use of the Service and your collection of reviews complies with all applicable laws, including GDPR, ePrivacy Directive, and marketing communication regulations in your jurisdiction.
9. LIMITATION OF LIABILITY
40. No Liability for Indirect Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALLA REVIEWS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST REVIEWS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
41. Total Liability Cap: Our total aggregate liability for all claims arising from or related to this Agreement shall not exceed the total fees paid by you in the 12 months preceding the claim or EUR 500, whichever is greater. This limitation does not apply to liability that cannot be excluded or limited under Irish law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or to your indemnification obligations.
42. Essential Terms: These limitations are fundamental terms of the Agreement and apply even if we have been advised of the possibility of damages.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Scalla Reviews, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or regulation; (d) your violation of any third-party rights, including intellectual property rights or privacy rights; or (e) the content you upload or process through the Service.
11. TERM AND TERMINATION
43. Subscription Term: Your subscription begins on the date you first make payment and continues for the selected billing period (monthly or annual). The subscription automatically renews at the end of each period unless cancelled.
44. Termination by You: You may terminate your subscription at any time by contacting [email protected]. Termination takes effect at the end of your current billing period. No refunds are provided for partial months except as set out in Section 3 (Cancellation and Refunds).
45. Termination by Us: We may terminate or suspend your subscription and access to the Service immediately if you: (a) violate these Terms; (b) engage in fraudulent, illegal, or harmful activity; (c) abuse the Service; (d) fail to pay subscription fees for more than 30 days; or (e) use the Service in ways that harm us, our other customers, or third parties.
46. Effect of Termination: Upon termination, your access to the Service and all account data will be deleted. Your right to use the Service ceases immediately. You remain liable for all unpaid fees and charges incurred prior to termination.
47. Data Retention: Your account data will be retained for 30 days after termination to allow reactivation or export. After 30 days, all data will be permanently deleted in accordance with our data retention policy, unless we are required to retain it by law.
12. MODIFICATIONS TO TERMS AND SERVICE
48. Changes to Terms: We may modify these Terms at any time. Material changes will be communicated to you via email with at least 30 days' notice. Continued use of the Service after the notice period constitutes acceptance of the modified Terms.
49. Changes to Service: We may modify, suspend, or discontinue any feature or aspect of the Service at any time. We will provide reasonable notice of material changes that adversely affect your use of the Service.
50. No Obligation to Update: We have no obligation to maintain any specific version of the Service or to provide backward compatibility.
13. GENERAL PROVISIONS
51. Entire Agreement: These Terms, together with any referenced policies and any separate Data Processing Agreement for end-user review data, constitute the entire agreement between you and Scalla Reviews regarding the paid subscription and supersede all prior agreements and understandings.
52. Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if not possible, will be severed. The remaining provisions will remain in full force and effect.
53. No Waiver: Our failure or delay in enforcing any right or provision of these Terms shall not constitute a waiver of such right or provision, nor prevent us from enforcing that right in the future.
54. Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any unauthorized assignment is void. We may assign these Terms and our rights without restriction upon notice to you.
55. Governing Law and Jurisdiction: These Terms are governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Irish courts.
56. Data Protection Authority: You have the right to lodge a complaint with the Data Protection Commission (Ireland) if you believe your data protection rights have been violated. Contact details: www.dataprotection.ie
